General Terms and Conditions (GTC)

LogiMenu
As of: January 2026

1. Provider

The provider information in accordance with § 5 TMG and other mandatory information can be found in the legal notice:

https://www.logimenu.com/impressum

2. Scope

(1) These General Terms and Conditions (GTC) apply to all contracts between LogiMenu and entrepreneurs within the meaning of § 14 BGB (e.g. restaurants, bars, cafés and other gastronomic establishments) who use the services of LogiMenu via the websites www.logimenu.com and app.logimenu.com.

(2) Consumers within the meaning of § 13 BGB are excluded from use.

(3) Deviating, conflicting or supplementary terms and conditions of the customer do not apply, unless LogiMenu expressly agrees to their validity in writing.

3. Contract language and internationality

(1) The contract language is exclusively German.

(2) LogiMenu is based in Germany, but the services can also be used by customers from other countries (e.g. Italy, Switzerland, United Kingdom, France).

(3) Translations of these terms and conditions into other languages are for better understanding only. In the event of discrepancies or differences in interpretation, the German version shall prevail.

4. Services (SaaS)

(1) LogiMenu provides a cloud-based software solution (Software-as-a-Service) for the digital display of menus.

(2) A specific range of functions or a specific quality of the services is not owed, unless this has been expressly agreed.

5. Subscription models and prices

(1) LogiMenu currently offers the following subscription models:

  • Standard: EUR 15 / month
  • PRO: EUR 20 / month
  • PDF: EUR 8 / month

(2) The respective scope of services results from the service description valid at the time the contract is concluded and the tariff booked in each case.

(3) All prices are exclusive of statutory VAT.

5.1 Plan Changes (Upgrade/Downgrade)

(1) The customer can request a plan change (upgrade or downgrade) at any time within their user account.

(2) An upgrade to a higher-value plan can take effect immediately, if technically available. In this case, billing will be prorated or adjusted from the next billing period, depending on the billing system.

(3) A downgrade to a lower plan will usually take effect only at the end of the current billing period.

(4) With a downgrade, features, content, or settings that are only available in the higher-value plan (e.g., branding removal, banners, popups, password protection, Google reviews) may be automatically deactivated or restricted. Such content may be stored without further use, provided this is technically necessary.

(5) The customer is responsible for checking whether a downgrade will result in any loss of functionality.

6. Conclusion of contract

(1) The contract is concluded by registering on the platform and selecting a paid subscription.

(2) By completing the registration, the customer confirms that they are an entrepreneur within the meaning of § 14 BGB and accepts these terms and conditions.

6.1 Trial Period

(1) LogiMenu may offer a one-time 30-day trial period (“Trial”) for all plans.

(2) The trial period applies exclusively to new customers and can only be used once per company.

(3) After the trial period expires, the paid subscription for the selected plan automatically begins, unless the customer cancels before the end of the trial period.

(4) There is no entitlement to renewed trial periods, extensions, or retroactive granting.

7. Term, termination, notifications

(1) The contract is concluded for an indefinite period.

(2) The subscription can be cancelled by the customer at any time with effect to the end of the current billing period. After effective termination, no further debit will be made for future billing periods.

(3) The termination can be done via the user account or by e-mail.

(4) Notifications from LogiMenu to the customer (e.g. information on maintenance, changes, security-relevant information) are usually made in text form (e.g. by e-mail) and are deemed to have been received when they have been sent to the e-mail address provided by the customer.

(5) Fees already paid for current billing periods will not be refunded.

8. Terms of payment

(1) Billing is monthly in advance.

(2) If the customer is in default of payment, LogiMenu is entitled to block access to the platform in whole or in part.

(3) In the event of a failed payment (e.g., expired card, insufficient funds), LogiMenu may perform automatic payment retries (“Payment Retry”).

(4) LogiMenu will attempt to collect payment up to a maximum of three (3) times. The interval between trials is usually two (2) days.

(5) During the payment retries, the status of the subscription remains active, unless blocked for other reasons.

(6) If the last payment attempt also fails, LogiMenu may block access or terminate the subscription. Further claims by LogiMenu remain unaffected.

9. Rights of use

(1) LogiMenu grants the customer a simple, non-transferable and non-sublicensable right to use the software for the duration of the contract.

(2) The distribution, duplication, decompilation, reverse engineering or imitation of the software is prohibited.

10. Security, access data and unauthorized use

(1) The customer is obliged to keep their access data (in particular password, e-mail access and other login data) secret, to keep it safe and to protect it from access by third parties.

(2) The customer is responsible for all activities that take place via their user account, unless they can prove that they are not at fault.

(3) LogiMenu is not liable for damages caused by unauthorized use of the customer account, in particular if this is due to insecure passwords, disclosure of access data, phishing, malware or other security incidents in the customer’s area of responsibility.

(4) LogiMenu takes appropriate technical and organizational measures to protect the platform. However, complete security of the systems and data cannot be guaranteed.

(5) LogiMenu is not liable for damages caused by attacks by third parties (e.g. hacker attacks), unless LogiMenu has acted intentionally or with gross negligence.

11. Content, responsibility, no advice

(1) The customer is solely responsible for all content provided via their account, in particular for price information, information on allergens, additives, nutritional values (e.g. kcal) and other legally required mandatory information (e.g. LMIV).

(2) LogiMenu does not generally check content in advance. However, spot checks or event-related checks may occur in individual cases. Such a review does not constitute any liability or responsibility of LogiMenu for the content.

(3) LogiMenu does not provide any food law, consumer protection law or other legal advice. The customer is responsible for complying with the legal obligations of their business.

(4) The customer shall indemnify LogiMenu against all claims by third parties arising from illegal or incorrect content.

11.1 Rights to Customer Content

(1) The customer warrants that they have all necessary rights to the content they upload or enter (e.g., logos, photos, menu content, texts, trademarks).

(2) The customer grants LogiMenu the simple, spatially unrestricted right to technically store, process, reproduce, and make publicly available this content for the duration of the contract, insofar as this is necessary for the provision of the contractual services (e.g., display in the digital menu).

(3) The customer shall indemnify LogiMenu against all claims by third parties that are asserted due to a violation of copyright, trademark, or other rights by customer content.

12. Automatic translations (“as is”)

(1) LogiMenu may offer the customer the option of automatically translating content into several languages via external translation APIs.

(2) The translation function is provided “as is” and may contain errors, inaccuracies or deviations in meaning. It does not replace a professional translation.

(3) The customer is obliged to independently check translations, especially for information on allergens, ingredients, additives and other mandatory information.

(4) LogiMenu assumes no liability for translation errors or resulting legal, economic or actual consequences.

13. Changes to services and prices

(1) LogiMenu is entitled to further develop, change, replace or discontinue the platform, functions, layouts, designs and technical components, insofar as this is reasonable for the customer.

(2) LogiMenu will not significantly reduce the overall service level of the booked tariff.

(3) Significant changes that significantly impair the use for the customer will be communicated in good time. In this case, the customer is entitled to terminate the contract extraordinarily (special right of termination).

(4) LogiMenu is entitled to adjust prices with effect for the future. Price changes will be communicated to the customer in text form in good time. In the event of significant price changes, the customer can terminate the contract extraordinarily.

14. Availability

(1) LogiMenu provides the software within the framework of the current state of the art.

(2) LogiMenu strives for the highest possible availability of the platform. However, continuous or uninterrupted availability is not guaranteed.

(3) There is no claim to complete freedom from defects. If significant defects occur, LogiMenu will remedy them within a reasonable period.

(4) LogiMenu is not liable for failures, interruptions or restrictions of availability, unless these are based on intent or gross negligence.

15. Google reviews and third-party providers

(1) Functions for displaying or linking Google reviews are provided via services of Google Ireland Limited.

(2) LogiMenu acts exclusively as a technical intermediary and has no influence on the content, ratings, availability or timeliness of Google reviews.

16. Password-protected menus

(1) The customer is responsible for the secure management of passwords.

(2) LogiMenu is not liable for damages caused by unauthorized use due to passed on or compromised passwords.

17. QR codes and slug changes

(1) LogiMenu provides QR codes that refer to the respective menu link.

(2) The customer can change the menu link (slug) once per calendar month.

(3) If the menu slug is changed, previously generated QR codes will become invalid.

(4) LogiMenu assumes no liability for damages or costs resulting from this.

18. Data backup and data retention

(1) The customer is responsible for regularly backing up the data they have entered or uploaded (e.g. food, prices, photos, descriptions).

(2) LogiMenu does not guarantee that data can be restored at any time.

(3) After the end of the contract, LogiMenu may delete customer data within a reasonable period, provided that there is no legal obligation to retain it.

(4) Upon termination of the subscription and expiry of the paid billing period, the public menu links (e.g., app.logimenu.com/menu/…) and QR codes referring to them will usually be deactivated. Access to the published content is then no longer possible.

19. Blocking and deletion

(1) LogiMenu is entitled to temporarily or permanently block access to the platform and remove content if:

  • the customer is in default of payments,
  • the customer violates these terms and conditions,
  • there is a suspicion of abusive or illegal use,
  • rights of third parties (e.g. copyrights, trademark rights) are infringed,
  • this is necessary due to legal obligations or official orders.

(2) In the event of a blocking or deletion, payment claims of LogiMenu for services already rendered remain unaffected.

20. Liability

(1) The following limitations of liability do not apply to damages resulting from injury to life, body or health, as well as not in the case of intent or gross negligence.

(2) In the event of slight negligence, LogiMenu shall only be liable for breach of essential contractual obligations (cardinal obligations) and in this case limited to the foreseeable, contractually typical damage.

(3) Liability for lost profits, loss of production, data loss or other indirect damages is excluded.

(4) To the extent that the liability of LogiMenu is not excluded under these terms and conditions, it is limited in amount to a maximum of six (6) monthly fees that the customer has paid to LogiMenu in the last six months prior to the occurrence of the damage in the event of slight negligence and in the event of a breach of essential contractual obligations.

21. Data protection

The processing of personal data takes place in accordance with the privacy policy on www.logimenu.com.

22. Hosting

(1) The website logimenu.com is hosted in Germany.

(2) The application app.logimenu.com is operated within the European Union.

23. Amendment of the terms and conditions

(1) LogiMenu reserves the right to change these terms and conditions at any time with effect for the future.

(2) Changes will be communicated to the customer in text form (e.g. by e-mail) in good time.

(3) If the customer does not object to the changes within a reasonable period and continues to use the services after receipt of the notification, the changes shall be deemed accepted.

24. Final provisions

(1) The law of the Federal Republic of Germany applies.

(2) The place of jurisdiction is – as far as permissible – the registered office of the provider.

(3) Should a provision of these terms and conditions be invalid, the validity of the remaining provisions shall remain unaffected.
